These Terms & Conditions constitute a binding legal agreement between you ("Customer") and NGS (Solea) Estates Ltd ("Company"). By accessing our website, placing an order, or using our products, you acknowledge that you have read, understood, and agree to be bound by these terms, our Privacy Policy, and Website Terms of Use, all of which are incorporated herein by reference.

  1. Legal Entity & Brand Clarification

Oleaphen is a brand name of NGS (Solea) Estates Ltd, a company registered in Cyprus (Registration No. HE 407097). All sales, payments, and contractual relationships are between the customer and NGS (Solea) Estates Ltd. References to "we," "us," or "our" refer to NGS (Solea) Estates Ltd.

  1. Service Description

NGS (Solea) Estates Ltd produces and sells high polyphenol olive oil under the Oleaphen brand through a subscription-based model. Products are shipped following harvest and preparation cycles. As an agricultural product, availability and delivery are subject to seasonal harvesting and natural variations.

  1. Subscription Plans & Auto-Renewal

Available subscription plans:

  • Platinum Annual (€660): 12-month supply
  • Gold 6-Month (€390): 6-month supply
  • Silver One-Time (€75): Single 30-dose box

Auto-Renewal: Annual and 6-month subscriptions automatically renew unless cancelled at least 30 days before expiration. Customers will receive renewal notices 60 and 30 days prior to renewal dates.

Subscription Modifications: Plan changes must be requested at least 30 days before the next billing cycle by contacting contact@oleaphen.com.

Installment Plans: Available for longer subscriptions with terms specified at checkout.

  1. Payment Terms
  • All prices are listed in Euro (€) and include VAT where applicable
  • Payment is required at checkout or per scheduled installments
  • For installment plans, the final balance is payable upon your first shipment
  • By subscribing, you authorize recurring payments where applicable
  • We reserve the right to modify pricing with 30 days' notice for future orders
  • Failed payments may result in subscription suspension or cancellation
  1. Delivery Terms
  • Orders fund a single annual harvest with delivery expected to begin October 2025
  • All orders are shipped from the European Union
  • Risk of loss transfers to the customer upon delivery
  • Customers are responsible for providing accurate shipping addresses
  • Delivery timeframes are estimates and may vary due to customs processing or other factors beyond our control
  • Signed delivery confirmation may be required for orders over €200
  1. International Duties, Tariffs & Import Charges

6.1 United Kingdom and United States

For customers in the UK and USA:

Baseline Import Charges: NGS (Solea) Estates Ltd assumes responsibility for standard import duties, taxes, and customs clearance fees applicable at the time of purchase ("Baseline Charges").

Tariff Changes: If new tariffs, increased tariff rates, or additional import regulations are imposed after your purchase date but before delivery ("Tariff Changes"):

  • NGS (Solea) Estates Ltd will notify you in writing within 7 days of becoming aware of such changes
  • You will be provided with the exact cost impact and revised total price
  • You must respond within 14 days with one of the following options: 
    • Accept the price increase and proceed with delivery
    • Pause your subscription until tariffs revert (if applicable)
    • Cancel your order and receive a full refund for undelivered products
    • Convert your payment to store credit for future use

Customer Non-Response: Failure to respond within the 14-day notice period will result in automatic order suspension. Orders may be cancelled after 60 days of suspension.

6.2 All Other Countries (Outside EU, UK, and USA)

For customers in all countries other than EU member states, the United Kingdom, and the United States of America:

Customer Responsibility: You are solely responsible for all import-related charges including but not limited to:

  • Import duties and tariffs (existing and future)
  • Value-added tax (VAT), goods and services tax (GST), or equivalent consumption taxes
  • Customs clearance fees and brokerage charges
  • Administrative fees, inspection fees, and handling charges
  • Any other governmental fees, taxes, or charges imposed by your country's customs authorities

Payment and Clearance: You must pay all such charges directly to the relevant authorities or customs agents. NGS (Solea) Estates Ltd will not advance, prepay, or reimburse any import-related costs for these destinations.

Delivery Contingency: If you refuse to pay required import charges or if shipments are returned due to non-payment of duties/taxes, you remain liable for the full purchase price. No refunds will be provided for orders rejected due to unpaid import charges.

Regulatory Compliance: You are responsible for ensuring our products comply with your country's import regulations. Orders may be cancelled without refund if products are subsequently banned or restricted in your jurisdiction.

6.3 General Import Terms

Customer Acknowledgment: By placing an order for international delivery, you acknowledge understanding of your import obligations and agree to comply with all applicable customs regulations.

Rate Changes: Import rates and regulations may change without notice. We are not responsible for increases in duties, taxes, or fees occurring after your purchase date, except as specifically provided for UK and USA customers in Section 6.1.

Documentation: We will provide accurate customs declarations and required export documentation. Customers are responsible for providing any additional documentation required by their customs authorities.

  1. Refund & Cancellation Policy

Platinum Annual

  • 80% refund if cancelled within 30 days of purchase
  • No refund after 30 days unless NGS (Solea) Estates Ltd fails to deliver
  • Transfer to another recipient allowed with written notice

Gold 6-Month

  • 70% refund within 30 days of purchase
  • No refunds after 30 days unless we fail to deliver
  • Pause or transfer available upon request

Silver One-Time

  • Full refund available only before product shipment
  • Once shipped, no monetary refunds are available
  • For quality issues after delivery: replacement product or store credit for future orders
  • For customer dissatisfaction: 50% store credit toward future purchases (one-time offer)

General Refund Terms

  • All refund requests must be submitted to contact@oleaphen.com
  • Pre-shipment refunds are processed within 14 business days of approval
  • Post-shipment remedies (store credit, replacements) are processed within 7 business days
  • Store credits are valid for 24 months from issue date
  • Refunds will be issued to the original payment method
  • Processing fees may be deducted from monetary refunds where permitted by law
  • Quality Guarantee: Products arriving damaged or significantly below stated specifications will be replaced at no cost
  1. Product Specifications & Disclaimer

Oleaphen high polyphenol olive oil is a natural food product with inherent variability. While we maintain strict quality standards, exact polyphenol levels may vary between batches due to natural agricultural factors.

Health Disclaimer: This product is not intended to diagnose, treat, cure, or prevent any disease. Always consult your healthcare provider before use if you have existing medical conditions, take medications, or are pregnant or nursing.

Quality Warranty: We warrant that products are free from defects in materials and workmanship at the time of delivery but do not guarantee specific health outcomes or exact nutritional specifications due to natural variation.

  1. Storage & Use Instructions
  • Store at 4°C–16°C (39°F–61°F)
  • Keep away from direct light and heat sources
  • Do not use if packaging appears compromised or damaged
  • Consume within recommended timeframe after opening

We are not responsible for product degradation due to improper storage after delivery or failure to follow usage instructions.

  1. Force Majeure & Harvest Dependency

As an agricultural product dependent on annual harvest, delivery may be affected by circumstances beyond our reasonable control including but not limited to:

  • Adverse weather conditions, climate events, drought, or crop failure
  • Government regulations, trade restrictions, sanctions, or embargo
  • Pandemic-related disruptions or supply chain interruptions
  • Acts of war, terrorism, civil unrest, or labor disputes
  • Natural disasters or infrastructure failures

In such events, we will provide alternative solutions including delayed delivery, partial refunds, store credit, or plan modifications. Our liability is limited to refunding payments for undelivered products. We will communicate any delays promptly and provide regular updates.

  1. Data Protection & Privacy

NGS (Solea) Estates Ltd processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable privacy laws. We collect and use data solely for:

  • Order processing and fulfillment
  • Shipping and logistics coordination
  • Customer service and communication
  • Marketing communications (opt-in only)

You retain the following rights: access, rectify, erase, restrict processing, data portability, and object to processing. Contact us at contact@oleaphen.com to exercise these rights.

Data retention periods, third-party sharing details, and complete privacy practices are outlined in our Privacy Policy, which is incorporated by reference into these Terms.

  1. Intellectual Property

All content, trademarks, logos, product names, and proprietary information on this website and related to our products remain the exclusive property of NGS (Solea) Estates Ltd. The "Oleaphen" brand name and associated marks are protected intellectual property.

Unauthorized use, reproduction, distribution, or modification of our intellectual property is strictly prohibited and may result in legal action.

  1. Terms Updates & Modifications

We reserve the right to modify these Terms to reflect legal, operational, or regulatory changes. Material changes will be communicated via email and/or website notice at least 30 days before taking effect. Revised Terms will be posted on our website with updated effective dates.

Continued use of our services after modifications constitute acceptance of the updated Terms. If you disagree with changes, you may cancel your subscription according to Section 7.

  1. Limitation of Liability

To the maximum extent permitted by applicable law:

  • NGS (Solea) Estates Ltd's total liability for any claim related to products or services shall not exceed the amount paid by the customer for the specific product giving rise to the claim
  • We exclude liability for consequential, indirect, incidental, punitive, or special damages
  • We do not warrant uninterrupted or error-free service
  • Some jurisdictions do not allow certain liability exclusions, so these limitations may not apply to you
  1. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Cyprus and applicable European Union legislation.

For EU Consumer Customers: Disputes may be resolved through the European Commission's Online Dispute Resolution platform (ec.europa.eu/consumers/odr) or your local consumer protection authorities.

For All Other Disputes: You agree to attempt good-faith mediation before pursuing litigation. If mediation fails, exclusive jurisdiction lies with the courts of Nicosia, Cyprus.

Class Action Waiver: Where permitted by law, you agree to resolve disputes individually and waive participation in class actions.

  1. General Provisions

Severability

If any provision of these Terms is found unenforceable, the remainder shall remain in full force and effect.

Assignment

NGS (Solea) Estates Ltd may assign these Terms without notice. Customers may not assign their rights or obligations without our written consent.

Communications

Official notices will be sent via email to your registered address. Communications are deemed delivered 48 hours after sending. You must keep your contact information current.

Entire Agreement

These Terms, together with our Privacy Policy and Website Terms of Use, constitute the complete agreement between parties and supersede all prior agreements.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

  1. Referral Program Terms

18.1 Program Overview

NGS (Solea) Estates Ltd operates a referral program ("Program") to reward loyal customers for sharing Oleaphen products. Participation is voluntary and subject to these terms, which may be modified or discontinued at our sole discretion.

18.2 Eligibility Requirements

To participate in the referral program, you must:

  • Hold an active Platinum Annual (12-month) subscription in good standing
  • Have completed at least 30 days of active subscription
  • Maintain current payment status with no outstanding balances
  • Comply with all Terms & Conditions

18.3 Referral Process & Rewards

  • Eligible customers receive unique referral codes linked to verified account information
  • Referral rewards are granted only after the referred customer ("Referee"): 
    • Completes full payment of their first subscription installment
    • Maintains active subscription for minimum 30 consecutive days
    • Passes all fraud prevention verification checks
  • Rewards are subject to product availability and may be substituted with equivalent value store credit
  • Maximum 3 successful referrals per customer per calendar month without prior review

18.4 Prohibited Activities

The following activities are strictly prohibited and will result in immediate disqualification and potential account termination:

Account Fraud:

  • Creating multiple or fake accounts for self-referral
  • Using family members' information without proper disclosure
  • Coordinating with others to create artificial referral networks

Payment Fraud:

  • Referring customers who intend to cancel or reverse payments after reward distribution
  • Using temporary or prepaid payment methods to circumvent verification
  • Exploiting refund policies in conjunction with referral rewards

Distribution Violations:

  • Posting referral codes on public coupon, discount, or deal aggregation websites
  • Selling, trading, or offering cash incentives for referral code usage
  • Using automated systems, bots, or mass distribution methods
  • Misrepresenting the product or program terms to potential referees

18.5 Verification & Fraud Prevention

NGS (Solea) Estates Ltd employs comprehensive fraud prevention measures including:

  • IP address and device monitoring for suspicious patterns
  • Payment verification and account history analysis
  • Communication pattern analysis between referrer and referee
  • Third-party fraud detection services
  • Manual review of high-volume or suspicious referral activity

We reserve the right to request additional verification including:

  • Proof of identity for both referrer and referee
  • Documentation of genuine relationship or communication
  • Explanation of referral circumstances
  • Additional payment or identity verification

18.6 Program Modifications & Termination

NGS (Solea) Estates Ltd reserves the right to:

  • Modify referral rewards, terms, or eligibility requirements with 7 days' notice
  • Temporarily suspend the program due to supply constraints or operational needs
  • Permanently terminate the program at any time without prior notice
  • Cap the total number of referrals per period to maintain program sustainability
  • Substitute rewards with equivalent value alternatives when necessary

18.7 Enforcement & Remedies

Suspected Violations: We may immediately suspend referral rewards and investigate suspicious activity. During investigation, all pending rewards are held.

Confirmed Violations: Upon confirmation of prohibited activities, we may:

  • Permanently disqualify the customer from current and future referral programs
  • Revoke all pending and previously awarded referral rewards
  • Terminate the customer's subscription without refund
  • Pursue legal remedies including recovery of fraudulently obtained products or credits
  • Report fraudulent activity to relevant authorities

Appeal Process: Customers may appeal disqualification decisions by providing evidence of legitimate referral activity to contact@oleaphen.com within 30 days.

18.8 Legal Compliance

This referral program complies with applicable consumer protection and anti-fraud regulations. Participants agree to:

  • Provide truthful information in all referral-related communications
  • Comply with applicable laws regarding referral marketing in their jurisdiction
  • Indemnify NGS (Solea) Estates Ltd against claims arising from their referral activities

Tax Implications: Referral rewards may constitute taxable income in some jurisdictions. Participants are responsible for reporting and paying applicable taxes.

18.9 Program Limitations

  • Referral rewards are non-transferable and have no cash value
  • Rewards cannot be combined with other promotional offers unless explicitly stated
  • Program availability may vary by geographic region
  • We are not responsible for technical issues preventing referral code functionality
  • Rewards are subject to the same terms as regular purchases regarding delivery, storage, and use

18.10 Data Usage

Participation in the referral program constitutes consent to:

  • Track and analyze referral patterns for fraud prevention
  • Store referral-related communications and transaction data
  • Share necessary information with payment processors and fraud prevention services
  • Use anonymized referral data for program improvement and marketing analysis

All data handling complies with our Privacy Policy and applicable data protection regulations.
